Terms of Service

1. Parties
These Terms of Service ("Terms") govern the relationship between the client ("you", "your") and CGRBILL LLC ("ClickGainReach", "we", "us"), 30 N Gould St, Sheridan, WY 82801 6317, US.
2. Services provided
ClickGainReach offers: (a) Meta and TikTok advertising management operated on agency Business Managers, (b) InvoiceCashback, a supplier invoice settlement service with 2.0% cashback on validated volume, and (c) Ecommerce Facilitation combining acquisition, cash flow optimization, and operational support. Specific scope is defined in individual client proposals.
3. Engagement and termination
Engagements begin upon signed proposal and payment of the first invoice. Minimum commitment is three months. After the initial period, engagements continue month to month with 30 days written notice for termination by either party. We reserve the right to terminate immediately if the client breaches these Terms or engages in activities that create legal or regulatory risk.
4. Payment terms
Invoices are issued monthly and payable within 15 days. Late payments accrue interest at 1.5% per month. All fees are in US dollars. Media spend budgets are separate from management fees and are billed directly by the advertising platforms to the client or through our agency accounts as agreed.
5. InvoiceCashback specific terms
The 2.0% cashback is calculated on net validated invoice volume, excluding disputed, reversed, or ineligible amounts. Cashback is returned 90 days after settlement. ClickGainReach reserves the right to adjust the cashback rate with 60 days written notice. The cashback is not guaranteed income and depends on the underlying banking infrastructure continuing to provide the rewards that fund it.
6. Ad account ownership
Agency Business Managers used for your campaigns are owned and operated by CGRBILL LLC. Campaign data, creative assets, and audience data created during the engagement belong to you. Upon termination, we export all campaign structures, audience data, and reporting to your own Business Manager within 10 business days.
7. Confidentiality
Both parties agree to keep confidential any business, financial, or technical information disclosed during the engagement. This obligation survives termination for 3 years.
8. Limitation of liability
ClickGainReach's total liability for any claim arising from services provided is limited to the total fees paid by the client in the 3 months preceding the claim. We are not liable for losses caused by third-party platform decisions (ad account suspensions, policy changes, payment processor actions), force majeure, or client's own business decisions.
9. Intellectual property
Creative assets produced for your campaigns are your property upon full payment. Our internal tools, processes, methodologies, and proprietary systems remain our property.
10. Governing law
These Terms are governed by the laws of the State of Wyoming, United States. Any disputes will be resolved through binding arbitration in Sheridan County, Wyoming, under the rules of the American Arbitration Association.
11. Amendments
We may update these Terms with 30 days written notice. Continued use of services after the notice period constitutes acceptance of the revised Terms.
